Gründung 1870 durch Fusion der Lebanon Springs RR und der Bennington & Rutland RR. Strecke von Chatham Four Corners, N.Y. nach Rutland, Vermont (114 Meilen). Die New York, Boston & Montreal RR pachtete die Gesellschaft 1872, gab den Pachtvertrag jedoch 1873 an die Central Vermont RR. 1877 wurde dieser Pachtvertrag aufgelöst, im selben Jahr auch die Fusion rückgängig gemacht, die zur Gründung dieser Ges. geführt hatte. Im Aug. 1877 wurde die vormalige Bennington & Rutland RR erneut gegründet und übernahm ihre Strecken wieder in eigene Regie. 1900 pachtete die Rutland RR die Bahn und kaufte sie 1901.
